Terms and Conditions

These terms (“Terms”) govern your use of the Signal News APIs, client portal, and related services (the “Services”) operated by Paxa Media (“we”, “us”, “our”). By using the Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation.
1. The Services
We provide (a) Events / Signals API—structured event and trend data derived from publicly available sources; and (b) News Synthesis API—synthesised news-style content generated from extracted facts. We also operate a client portal for account and API key management, and a marketing website. Our data is aggregated, normalised, and/or generated from multiple public sources; we do not guarantee that underlying sources are complete, accurate, or up to date. The Services are offered “as is” subject to the disclaimers and limitations below.
2. Ownership and intellectual property
The Services, including the APIs, software, branding (“Signal News”, “Paxa Media”), and the structure, selection, and presentation of our data and content, are owned or licensed by Paxa Media. You receive only the limited right to access and use the Services in accordance with these Terms and any separate agreement (e.g. order form or API terms). You may not copy, modify, resell, or create derivative works of our systems or data except as expressly permitted. Our data products (events, articles, outputs) are licensed for your permitted use under your agreement with us, not sold; you do not acquire ownership of the underlying data or our IP.
3. Data sources and resale
We ingest and process information from publicly available sources (e.g. news feeds, public websites, and third-party datasets). We normalise, cluster, score, and in the case of the News API, synthesise content. You acknowledge that: (a) our inputs are public or licensed and we do not warrant their accuracy or legality in their original form; (b) our outputs are for your permitted use only—resale, redistribution, or commercial use of our data must be explicitly allowed in your contract with us; (c) you are responsible for your own use of the data and compliance with applicable law (e.g. attribution, terms of upstream sources). If you have a separate data or API agreement with us, that agreement governs resale and use rights.
4. Acceptable use
You agree not to: (a) use the Services in violation of any law or third-party rights; (b) attempt to gain unauthorised access to our systems, other accounts, or any non-public data; (c) overload or disrupt the Services (e.g. excessive requests beyond your plan, denial-of-service behaviour); (d) use the Services to build a competing product or to scrape, harvest, or systematically extract data beyond the intended API usage; (e) use API keys other than your own or share them in a way that violates your agreement; (f) use the Services to distribute malware, spam, or illegal content. We may suspend or terminate access if we reasonably believe you have breached these Terms or pose a risk to the Services or others.
5. Account and API keys
You are responsible for keeping your portal credentials and API keys confidential. You must notify us promptly of any unauthorised use. We are not liable for loss or misuse resulting from your failure to secure credentials. We may impose rate limits, usage caps, or other technical limits as described in our documentation or your plan.
6. Payment and fees
Where the Services are subject to fees, you agree to pay the amounts and at the times specified in your order or invoice. Fees may be usage-based or subscription-based as described at sign-up or on our pricing page. We may change pricing with reasonable notice; continued use after the change constitutes acceptance unless your contract provides otherwise. All amounts are in the currency stated and exclude applicable taxes unless otherwise indicated.
7. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available”. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that our data is complete or accurate. You use the Services and any outputs at your own risk. Our data is not financial, legal, or professional advice; do not rely on it as the sole basis for material decisions without independent verification.
8. Limitation of liability
To the maximum extent permitted by law: (a) we (and our affiliates, directors, employees, and suppliers) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from or related to the Services or these Terms; and (b) our total liability for any claims arising from or related to the Services or these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim (or, if no fees apply, one hundred US dollars). Some jurisdictions do not allow certain exclusions or limitations; in such cases our liability is limited to the maximum permitted by law.
9. Indemnity
You agree to indemnify and hold harmless Paxa Media and its affiliates, officers, and employees from any claims, damages, losses, or costs (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party rights.
10. Termination
We may suspend or terminate your access to the Services at any time for breach of these Terms, non-payment, or for operational or legal reasons, with or without notice where permitted. You may stop using the Services at any time. On termination, your right to use the Services ceases; we may delete or retain your data in accordance with our Privacy Policy and applicable law.
11. General
These Terms, together with our Privacy Policy, Cookies Policy, and any separate agreement you have with us, constitute the entire agreement regarding the Services. We may modify these Terms from time to time; we will post the updated version on this page and update the “Last updated” date. Continued use after changes constitutes acceptance where permitted by law. If any provision is held invalid, the remainder remains in effect. Our failure to enforce a right does not waive it. These Terms are governed by the laws of Croatia, and any disputes shall be resolved in the courts of Croatia unless we agree otherwise in writing.
